Terms of Engagement

These Terms of Engagement ("Terms") govern any project, commission, or retainer agreement between AETHER Studio ("we," "us," "our") and the client ("you," "your"). By submitting a project brief, signing a proposal, or making a payment to us, you agree to these Terms.

1. Services

We provide brand identity design, digital product design, and Framer website development services, including but not limited to: logo and identity systems, design systems, landing page design, Figma-to-Framer conversion, and CMS-driven website builds. The exact scope of any project is defined in a written proposal or project brief agreed with you before work begins.

2. Project Investment & Payment

Project pricing is fixed and agreed in writing before work begins. Typical brand identity and digital flagship builds range from $18,000 to $45,000 depending on scope, 3D asset requirements, and CMS depth. Ongoing dedicated retainers start at $9,500/month.

A non-refundable deposit (typically 50% of the total project fee) is required before work begins. The remaining balance is due upon final delivery, unless otherwise agreed in writing.

Retainer clients are billed monthly in advance.

Late payments beyond 14 days of the invoice date may pause active work until the balance is settled.

3. Timelines & Delivery

Estimated timelines are provided in your proposal based on the agreed scope. Delays caused by late client feedback, missing assets, or scope changes may extend the original timeline.

We aim for fixed, guaranteed delivery dates on clearly scoped projects. Material scope changes after a proposal is signed may require a revised timeline and, where applicable, a revised fee.

4. Revisions

Each project phase includes a defined number of revision rounds, stated in your proposal. Additional revision rounds beyond what's included may be billed separately at our standard hourly or project rate.

5. Intellectual Property & Ownership

Upon full and final payment, we transfer full intellectual property rights and source files for the final approved deliverables (design files, Framer project files, brand assets) to you.

Until final payment is received in full, all work remains the intellectual property of AETHER Studio.

We retain the right to display completed work in our own portfolio, case studies, and marketing materials, unless you request confidentiality in writing before the project begins.

Any third-party assets used in a project (fonts, stock imagery, plugins, paid components) are subject to their own separate licensing terms, which remain your responsibility to maintain after handoff.

6. Client Responsibilities

To keep a project on schedule, you agree to:

Provide timely feedback, approvals, and requested assets

Designate a single point of contact for feedback and approvals

Ensure any third-party accounts we need access to (domains, hosting, CMS, analytics) are made available when required

7. Cancellations & Refunds

Deposits are non-refundable, as they reserve dedicated studio time and cover early-stage discovery and strategy work.

If a project is cancelled after work has begun, you will be billed for work completed to date, calculated against the total project fee.

Retainer agreements may be cancelled by either party with 30 days' written notice.

8. Limitation of Liability

We aim to deliver work that meets agreed specifications and industry standards. To the fullest extent permitted by law, AETHER Studio is not liable for indirect, incidental, or consequential damages arising from the use of delivered work, including but not limited to lost revenue, lost data, or business interruption. Our total liability for any claim arising from a project is limited to the total fees paid for that project.

9. Third-Party Tools & Platforms

Our work is frequently built on third-party platforms (e.g. Framer, hosting providers, CMS tools). We are not responsible for outages, pricing changes, feature deprecations, or policy changes made by these third-party providers after project delivery.

10. Confidentiality

We treat client information, business strategy, and unreleased work as confidential, and will not disclose it to third parties without your consent, except as required by law.

11. Governing Law

These Terms are governed by the laws of [your governing jurisdiction e.g. Pakistan, or a jurisdiction agreed per contract], without regard to conflict-of-law principles. Any disputes will first be addressed through good-faith direct discussion between both parties.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent version. Continued engagement with our services after changes are posted constitutes acceptance of the updated Terms.
